Terms of Service

§1 Scope

These General Terms and Conditions apply to all training, workshop, coaching, consulting, facilitation and concept development services provided by Eloq Coaching GmbH (hereinafter the “Contractor”).

Deviating terms of the client apply only if expressly agreed in writing.

§2 Scope of Services

The specific scope of services follows from the respective offer, the order confirmation or an individual agreement.

Trainings can be delivered in person or online.

Customary preparation and follow-up of the agreed service is included in the fee, unless the offer states otherwise.

§3 Fees

The fees agreed in the respective offer apply.

All prices are in Euros (€) and are subject to the applicable statutory value-added tax.

Additional services beyond the agreed scope are billed separately after prior agreement.

§4 Payment Terms

Invoices are payable within 14 calendar days of the invoice date, without deduction.

In the event of late payment, the Contractor is entitled to suspend further services until outstanding amounts are settled.

§5 Scheduling

Dates are agreed individually between the client and the Contractor.

Both parties commit to timely communication when changes become necessary.

§6.1 Cancellation

If the client cancels, the following cancellation fees apply:

• Up to 31 calendar days before the event: free of charge
• 30 to 14 calendar days before the event: 50% of the agreed fee
• Less than 14 calendar days before the event: 100% of the agreed fee

Travel, hotel or third-party costs already incurred are billed additionally if they can no longer be cancelled free of charge.

§6.2 Rescheduling

An agreed date can be rescheduled by prior arrangement up to 14 calendar days before the date.

This requires that the replacement date takes place within the same calendar month.

For later rescheduling, or rescheduling outside the calendar month, the cancellation rules under § 6.1 apply.

Travel, hotel or third-party costs already incurred are billed additionally if they can no longer be cancelled free of charge.

§7 Travel Expenses

For in-person events outside Hamburg, necessary travel and accommodation costs are billed separately, unless agreed otherwise.

Alternatively, travel and accommodation can be organised by the client.

§8 Delivery

The Contractor commits to the professional delivery of the agreed services.

The client ensures that suitable premises, technical requirements and the attendance of the intended participants are provided.

No specific economic, operational or personal outcome is owed.

§9 Individual Concept Development

The creation of individual training concepts, workshop designs, learning paths, rollout concepts or project-specific training materials may be remunerated separately.

Whether and to what extent concept development is part of an offer follows from the respective offer or order confirmation.

For pilot projects, extensive customisation or newly developed training formats, separate remuneration for analysis, development and concept work may be agreed.

§10 Usage Rights and Intellectual Property

All training concepts, workshop designs, methods, presentations, working documents, learning materials and training content developed by the Contractor remain the intellectual property of Eloq Coaching GmbH.

The materials provided may be used exclusively for the client's internal purposes.

Reproduction, publication, disclosure to third parties, commercial use or use for the client's own training purposes is not permitted without the Contractor's prior written consent.

Individually developed training concepts and project materials likewise remain the intellectual property of Eloq Coaching GmbH, unless expressly agreed otherwise.

§11 Video, Photo and Audio Recordings

Video, photo or audio recordings during trainings, workshops or consulting services require prior agreement between the client and the Contractor.

Where recordings are agreed, their use is permitted exclusively for internal training, development and documentation purposes within the client's organisation.

Publication, marketing, disclosure to third parties or any other external use requires the prior written consent of Eloq Coaching GmbH.

§12 Confidentiality

Both parties commit to treating all confidential information, trade secrets and non-public information of the other party as confidential.

This obligation continues beyond the end of the collaboration.

§13 No Exclusivity

The collaboration does not establish any claim to exclusivity.

Eloq Coaching GmbH is entitled to provide similar services to other companies, hotel groups, hospitality businesses, staffing providers or other clients.

Unless separately agreed in writing, no exclusive usage, industry, territorial or competition rights are granted.

§14 Liability

The Contractor is liable only for damage caused intentionally or through gross negligence.

The services of Eloq Coaching GmbH support personal and professional development and are not a substitute for professional medical, legal or financial advice. Eloq Coaching GmbH is not liable for decisions made on the basis of the collaboration.

Liability for indirect damage, consequential damage, lost profit or other financial loss is excluded to the extent permitted by law.

§15 Force Majeure

If a service cannot be delivered due to force majeure, illness, official orders or other unforeseeable events, both parties will seek to reschedule by mutual agreement.

No further claims exist.

§16 Use as Reference

The Contractor is entitled to name the collaboration with the client for reference purposes, provided no legitimate interests of the client stand against this.

Confidential content, internal information or project results are not published in doing so.

§17 Final Provisions

The law of the Federal Republic of Germany applies.

The place of jurisdiction is Hamburg, to the extent legally permissible.

Should individual provisions of these terms be or become wholly or partially invalid, the validity of the remaining provisions remains unaffected.
